They are legal representatives of owners (shareholders\/stockholders) and are legally responsible for high-level decisions. They also make decisions on policies that determine whether dividends are paid, and the amount of the upper management receives in compensation.\n<\/p>\n<p>A good board member needs to be proficient in their field of expertise, and also able to quickly gain knowledge about new industries. But most importantly they should be able understand and apply abstract concepts such as strategy and innovation. They must be able to confront difficult questions, confront the status quo and build trust within the team. In the past, boards focused primarily on management oversight but now they are more involved in critical discussions about strategic initiatives, such as risk management and resilience as well as sustainability, technology and digitization mergers and acquisitions, as well as the culture and talent.\n<\/p>\n<p>A well-rounded and balanced board should comprise of directors from both sides. Inside directors are either employees or significant shareholders and are an excellent source of information and insights. Outside directors provide valuable experience and relationships to the company.\n<\/p>\n<p>A strong board is a team composed of individuals who care for one another and are united around common goals and core values.
